Titans Product Design Ltd – B2B Terms and Conditions

These terms and conditions ("Terms") apply to all business-to-business transactions between Titans Product Design Ltd ("TPD", "we", "our") and the Customer ("you", "your") and supersede any other agreements unless otherwise explicitly agreed in writing.

  1. Order Confirmation & Lead Times

All dispatch or delivery dates provided are estimates and targets only, based on the date of order confirmation. TPD does not guarantee delivery dates, and any delays shall not entitle the Customer to any claims, damages, or cancellation.

  1. Right to Cancel & Cancellation Fees

TPD reserves the unconditional right to cancel any order at any time and shall refund the Customer in full upon cancellation. The Customer may cancel an order; however, a cancellation fee equal to 50% of the order value shall apply. TPD may waive this fee at its sole discretion.

  1. Intellectual Property (IP) and Usage

The Customer warrants that it has obtained all necessary rights and permissions to manufacture or commission TPD to manufacture products from files provided. TPD accepts no liability for any infringement of third-party IP rights by products produced from customer-supplied files. TPD does not claim ownership or rights over the Customer’s supplied files and will not produce products from these files for any third party.

Original designs created by TPD remain the intellectual property of TPD unless explicitly stated otherwise. TPD retains full rights to utilise, modify, distribute, or otherwise exploit such designs as it sees fit, unless an NDA or separate written agreement specifically overrides this clause.

  1. Returns Policy

All products are custom-made. Returns shall only be accepted if products are faulty or damaged upon receipt. TPD reserves the right to determine whether to replace or refund returned items. Products must be returned at the Customer’s expense unless agreed otherwise by TPD.

  1. Delivery Terms

Products will be shipped via Royal Mail 2nd Class Signed For unless otherwise agreed. The Customer may request an alternative delivery method at their own cost or arrange independent collection with prior written agreement from TPD.

  1. Payment Terms

Invoices are payable in full by the end of the calendar month in which they are issued. Payments must be made via bank transfer or Stripe invoice. Production will not commence until payment (for proforma invoices) or an official purchase order is received. Late payment may delay the estimated dispatch date. Late payments will incur interest charges at 8% above the Bank of England base rate per annum, as stipulated in The Late Payment of Commercial Debts (Interest) Act 1998. Additionally, any costs incurred by TPD in recovering outstanding payments (in time or expense) may be charged to and recovered from the Customer.

  1. Liability Limitations

TPD’s liability arising from or relating to any transaction is strictly limited to the value of the contract (excluding delivery charges). Under no circumstances shall TPD be liable for any indirect, consequential, or special damages or losses.

  1. Force Majeure

TPD shall not be liable for delays or failure to deliver products due to circumstances beyond its reasonable control, including but not limited to acts of nature, strikes, material shortages, or technical failures.

  1. Acceptance of Terms

Placement of an order constitutes acceptance of these Terms by the Customer. Amendments or alterations to these Terms shall only be binding if expressly agreed in writing by both parties.

  1. Governing Law

These Terms and all transactions shall be governed exclusively by English law, and disputes shall be subject to the jurisdiction of English courts.
